Company Description

We are a mid-sized firm serving nonprofits in Minnesota and nationwide. Founded in 1996, Nilan Johnson Lewis (www.nilanjohnson.com) has built a practice grounded in excellence and value. The firm focuses on five areas of law: corporate and transactional services (including nonprofit and tax-exempt organizations), product liability/mass tort litigation, business litigation, labor and employment, and health care.

Heidi Christianson has represented nonprofits in private practice since 2004, prior to which she was a nonprofit regulator in the Charities Division of the Minnesota Attorney General’s Office. Heidi is co-chair of the Minnesota State Bar Association’s Nonprofit Corporations Committee, and is immediate past chair of the Business law Section of the Bar. She is a regular speaker and trainer on nonprofit legal, corporate, governance and tax issues. Heidi volunteers for the Charities Review Council of Minnesota. She is a former board member and former board chair of the Charities Review Council.

Ann Novacheck has over 30 years of experience advising established and emerging nonprofit and tax-exempt organizations, including private foundations, operating foundations, public charities, trade associations, and health care providers. She advises nonprofits and tax-exempt organizations on a wide range of matters, including governance and management issues, executive compensation, federal and state tax and corporate law compliance, fiduciary duty responsibilities and conflicts of interest, the investment and management of institutional funds, membership issues, the development of grant programs, and managing donor relations. Ann represents organizations through their entire life cycle, from formation through transitions such as joint ventures, mergers, and dissolutions. She has previously worked with firms in Chicago and Minneapolis and has successfully defended charitable organizations through investigations by the Internal Revenue Service, various state revenue departments and state attorneys general
